This Agreement governs participation by a supplier (“you”) in the MBC procurement marketplace.

1. Eligibility & verification

You must provide accurate company information and verification documents (e.g. registration, GST, applicable licences). MBC reviews and may approve, reject or revoke verified status.

2. Listings & approval

Your products and services must be accurate, lawful and your own to offer. Each listing is reviewed by MBC and published only after approval. MBC may edit, decline or remove listings.

3. Confidentiality & non-circumvention

Buyer identities and details are confidential and routed through MBC. You agree not to bypass MBC to contact or transact with a marketplace-introduced buyer without MBC's involvement.

4. Pricing & fulfilment

You are responsible for honouring quoted prices and terms and for fulfilling accepted orders in good faith.

5. Fees

Listing is currently free for verified suppliers. Featured placement and any success-based fees apply as separately agreed. [Confirm fee schedule.]

6. Conduct & compliance

You will comply with applicable laws and marketplace standards. Misrepresentation, poor conduct or repeated complaints may lead to suspension or removal.

7. Term & termination

Either party may end participation with notice. MBC may suspend or remove suppliers for breach. Confidentiality and non-circumvention survive termination.

8. Liability & indemnity

You are responsible for your products, services and claims, and will indemnify MBC against losses arising from your listings or conduct, to the extent permitted by law.
